'The COO shall assist the CEO in the discharge of his or her duties as the CEO may direct and shall perform such other duties as from time to time may be assigned to him or her by the CEO or by the Board of Directors.
The COO shall not have the powers of the CEO or the authority to perform the duties of the CEO in the event of his absence, refusal or inability to act, nor shall the COO have the authority to execute for TMA-SA any contracts, deeds, mortgages, bonds, or other instruments or documents; except in each case to the extent that the Board of Directors by resolution or the CEO by written delegation shall have expressly granted such powers to the DCOO.
Upon completion of the term of the CEO’s service, the COO will be duly qualified as the CEO for the next following term."
At the Board meeting of 29th September 2005, it was resolved that the COO would be officially be appointed the Liaison Officer with TMA.
