Functions

"The CEO shall be the principal executive officer of the TMA-SA subject to the direction and control of the board, and shall:

Be in charge of the business of the TMA-SA;
See that the resolutions and directions of the board are carried into effect, except in those instances in which that responsibility is specifically assigned to some other person or committee by the board;
In general, discharge all duties incidental to the office of CEO and such other duties as may be prescribed by the board from time to time; and

Execute for the TMA-SA any contracts, deeds, mortgages, bonds, or other instruments which the board has authorised be executed.

The CEO may accomplish such execution even under or without the seal of the Company and either individually or with the secretary or any other executive authorised by the board, according to the requirements of the formal instrument."

Upon completion of the term of the non-executive chair’s service, the CEO will be duly qualified as the Chair for the next following term.

The CEO may assign the achievement of objectives to the COO, but remains accountable for results.

Issues

TMA desires the attendance of the CEO at two of their three annual board meetings in the USA.

These overseas trips are expensive.

Yet, maintaining relations with TMA, and direct networking aimed at facilitating best practice knowledge sharing and brand leveraging are strategically important to TMA-SA.

This far a provision for one trip in 2006 has been made in the Budget.
